Terms and conditions
These terms apply to services provided by Nortrove LLC (“we”), under the name Orbitic360, to the client named in an accepted proposal (“you”).
1. Business clients
Our services are intended for businesses and people acting for professional purposes, not for consumers. Nothing in these terms limits rights that cannot be excluded by law.
2. Proposals and contract
Website content and quote requests are not offers or quotes. A contract starts when you accept our written proposal. The proposal defines the deliverables, exclusions, responsibilities, review rounds, timeline, price and payment milestones. If the proposal and these terms conflict, the proposal applies.
3. Scope and changes
We provide what the proposal describes. Requests outside the agreed scope are priced and agreed in writing before that work begins.
4. Your responsibilities
You provide the information, content, access and decisions we need, on time. Timelines depend on this. You confirm that you have the rights to everything you give us and that it can lawfully be used for the project.
5. Fees and third-party costs
You pay the fixed price according to the milestones in the proposal. Advertising spend, third-party tools, hosting and ongoing support are identified separately where relevant and are not included unless the proposal says so.
6. Reviews and acceptance
We review the work at the checkpoints and against the acceptance criteria in the proposal. Please send any feedback within the period stated in the proposal.
7. Intellectual property
Once you have paid in full, you receive the rights to the final deliverables needed for the use described in the proposal. Third-party materials stay under their own licenses. We keep our pre-existing tools, methods and know-how. We may only show your project in our portfolio with your permission.
8. Confidentiality and personal data
Each party keeps the other's confidential information private and uses it only for the project. If we process personal data on your behalf, we agree the data processing terms the law requires. Our privacy policy explains how we handle personal data as a controller.
9. No guaranteed results
We perform the services with reasonable care and skill. We do not guarantee specific business results, such as sales, rankings or campaign performance. You remain responsible for legal, regulatory and tax checks for your business, unless the proposal says otherwise.
10. Liability
To the extent the law allows, our total liability under a project is limited to the fees you paid for that project, and neither party is liable for indirect losses or lost profits. This does not limit liability that cannot be limited by law.
11. Ending a project
Where the proposal sets stages, you may stop at the end of any stage and pay for the stages completed. Either party may also end a project in writing if the other seriously breaches the contract and does not fix the breach within 14 days of notice. You pay for work completed up to that date, unless the proposal provides otherwise.
12. Events beyond our control
Neither party is responsible for delays caused by events beyond its reasonable control.
13. Governing law
These terms are governed by the laws of the State of Wyoming, USA, and its courts have jurisdiction, unless the proposal or mandatory law provides otherwise.
14. Changes
We may update these terms for future proposals. The version attached to or referenced in your proposal applies to your project.
